Service Agreement

Effective date: 2026-05-14. This Service Agreement governs the use of WeipaiAI website services, digital platforms, and mobile applications distributed via app marketplaces including Google Play and Apple App Store.

1. Parties and Acceptance

This Agreement is between Zhengzhou Weipai Intelligent Technology Co., Ltd and the user or customer accessing or purchasing services, software, products, applications, or related support. By accessing, downloading, registering, purchasing, integrating, or otherwise using our services, you accept this Agreement and related policies including the Privacy Policy.

2. Services and Business Scope

We provide, directly or through authorized arrangements, the following categories:

  • Technical services, technical development, technical consulting, technical communication, technical transfer, technical promotion.
  • AI application software development, IoT technology R&D, software development, software sales.
  • Retail of computer software/hardware and auxiliary equipment; electronic products sales; smart robot sales; smart hardware sales; IoT equipment sales; communication equipment sales; security equipment sales.
  • Information system integration services; information technology consulting services; data processing and storage support services; big data services; industrial internet data services; security technology prevention system design and construction services.
  • Office equipment sales; office supplies sales; daily goods sales; internet sales (excluding goods requiring licensing); marketing planning; conference and exhibition services; domestic trade agency; import and export of goods (excluding goods prohibited or restricted by the state).
  • Mobile management applications and associated operational services for Europe, North America, and other markets.

3. Account, Eligibility, and Age Requirements

  • You must provide accurate information and keep your account credentials secure.
  • You represent that you have legal capacity to enter this Agreement.
  • Where services may involve app usage by minors, you must ensure lawful guardian authorization and compliance with applicable child or teen protection rules.
  • For child-directed or youth-restricted scenarios, personalized advertising or tracking features may be limited or disabled.

4. Mobile App Distribution and Marketplace Rules

4.1 Supported Marketplaces

Applications may be distributed through Google Play, Apple App Store, and other compliant distribution channels where applicable.

4.2 Marketplace Responsibilities

  • Users must comply with platform-specific terms and local law when downloading and using apps.
  • Feature availability can vary by app store policy, country policy, operating system version, and device capability.
  • Subscription, purchase, refund, and billing operations may be processed under platform-specific commerce rules where applicable.

5. Advertising Monetization Terms

Some mobile applications may include monetization services and ad mediation configurations with ad formats including splash ads (app open), rewarded video ads, interstitial ads, and banner ads. Native ads may also be used when configured.

5.1 Advertising Partners

Depending on app and region configuration, advertising-related integrations may involve providers such as Google AdMob, Google Ad Manager, AppLovin MAX, Unity Ads, ironSource, Meta Audience Network, Mintegral, Pangle, InMobi, Liftoff Monetize (Vungle), Chartboost, Moloco, Smaato, Start.io, Fyber, Tapjoy, AdColony, Digital Turbine, Verve Group, PubMatic, OpenX, Index Exchange, TripleLift, Amazon Publisher Services, and other compliant providers.

5.2 User Obligations for Ad-Supported Services

  • You must not use automated tools, click fraud, reward abuse, or traffic manipulation.
  • You must not interfere with ad rendering, impression tracking, reward validation, or anti-fraud controls.
  • In business deployments, integrators must implement required notices and consent flows.

6. Privacy, Data Protection, and International Adaptation

Processing of personal and operational data follows our Privacy Policy and applicable laws. Service operation may involve different data centers, vendors, and cross-border transfers. We adapt controls for major legal regimes including GDPR/UK GDPR, CCPA/CPRA and other US state laws, LGPD, PIPEDA, APPI, PIPA, PDPA, and relevant national requirements.

7. Intellectual Property

  • All rights in software, content, trademarks, designs, and technical documents remain with WeipaiAI or lawful rights holders unless otherwise agreed in writing.
  • You receive a limited, revocable, non-exclusive, non-transferable right to use services under this Agreement.
  • You may not reverse engineer, unlawfully copy, resell, sublicense, or create infringing derivatives without authorization.

8. Security and Acceptable Use

  • No illegal use, abuse, unauthorized access, malicious traffic, or circumvention of security features.
  • No use that violates sanctions, export controls, trade restrictions, or mandatory regulatory obligations.
  • Customers must implement reasonable endpoint security and access management on their side.

9. Fees, Commercial Terms, and Taxes

Paid services are governed by quotations, order forms, subscription plans, or project contracts. Unless otherwise specified, fees are exclusive of taxes and governmental charges. Payment delays may result in service suspension according to contract terms.

10. Warranties and Disclaimers

Services are provided according to agreed delivery standards and continuous improvement principles. To the extent permitted by law, implied warranties not expressly stated may be disclaimed. Availability and performance can be affected by third-party networks, app stores, SDK providers, force majeure events, and legal constraints.

11. Limitation of Liability

To the extent permitted by applicable law, neither party is liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, or business interruption, unless otherwise required by mandatory law or expressly agreed in contract.

12. Suspension and Termination

  • We may suspend services for severe security risk, legal requirement, payment default, policy breach, or abuse.
  • Either party may terminate according to contract terms and notice requirements.
  • Upon termination, rights of use end, and data handling follows contractual and legal retention obligations.

13. Governing Law and Dispute Resolution

Unless otherwise required by mandatory local law or a signed contract, disputes will be handled in accordance with applicable governing law and jurisdiction provisions defined in commercial agreements. Parties should first attempt good-faith negotiation.

14. Changes to This Agreement

We may update this Agreement to reflect legal, policy, technical, product, or operational changes. Updated versions become effective upon posting or notification as required by law.
